OSLO, Norway, Aug. 24, 2026 /PRNewswire/ -- Reference is made to the joint announcement on 21 July 2026 by BlueNord ASA (OSE: BNOR, "BlueNord" or the "Company") and Vår Energi ASA (OSE: VAR, "Vår Energi") regarding the proposed statutory merger (the "Merger") between BlueNord as the transferor company and Vår Energi 1 AS (a wholly owned subsidiary of Vår Energi) as the surviving company, with consideration to shareholders in BlueNord in the form of shares in Vår Energi and cash pursuant to the merger plan dated 20 July 2026 (the "Merger Plan").

Notice of an extraordinary general meeting in BlueNord (the "EGM") to approve the merger plan for the Merger was published on 23 July 2026.

The EGM has been held, and all items on the agenda were resolved in accordance with the proposals from the Board of Directors, including approval of the Merger Plan for the Merger. Minutes from the EGM are attached to this notice and shall be made available on the Company's website at www.bluenord.com. The resolution by the EGM to approve the Merger shall be filed with the Norwegian Register of Business Enterprises. Completion of the Merger remains conditional upon closing conditions as set out in the Merger Plan. The Merger Plan is available on the Company's website at www.bluenord.com.
